Welcome to LinkUp! These Terms of Service ("Terms") govern your access to and use of the LinkUp platform, website, and services. By accessing or using LinkUp, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Definitions

  • "Platform" refers to the LinkUp website, mobile applications, and services
  • "Customer" refers to users who book services through the Platform
  • "Provider" refers to service professionals who offer services through the Platform
  • "Service" refers to any professional service offered on the Platform
  • "Booking" refers to a scheduled service appointment
  • "We," "Us," "Our" refers to LinkUp, Inc.

2. Eligibility

To use LinkUp, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Not be prohibited from using the Platform under applicable laws
  • Maintain the security of your account credentials

3. Account Registration and Security

3.1 Account Creation

You must create an account to use certain features of the Platform. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as necessary
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized account access
  • Be responsible for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. You may also delete your account at any time through your account settings.

4. For Customers

4.1 Booking Services

When booking a service, you agree to:

  • Provide accurate service requirements and location information
  • Be available at the scheduled time and location
  • Pay the agreed-upon price for services
  • Treat service providers with respect and professionalism
  • Follow cancellation policies as outlined in Section 6

4.2 Customer Responsibilities

  • Provide safe and appropriate working conditions for service providers
  • Ensure access to necessary utilities and materials
  • Communicate clearly about service expectations
  • Report any issues or concerns promptly

5. For Service Providers

5.1 Provider Requirements

As a service provider, you must:

  • Possess required licenses, certifications, and insurance
  • Provide accurate information about your services and qualifications
  • Maintain professional standards and conduct
  • Complete background checks as required
  • Honor scheduled bookings or provide adequate notice of cancellation
  • Deliver services as described and agreed upon

5.2 Service Listings

When creating service listings, you must:

  • Provide accurate descriptions, pricing, and availability
  • Use appropriate categories and tags
  • Upload authentic photos and portfolio items
  • Not engage in misleading or deceptive practices
  • Comply with all applicable laws and regulations

5.3 Independent Contractor Relationship

Service providers are independent contractors, not employees of LinkUp. You are responsible for your own taxes, insurance, and business operations. LinkUp does not direct or control how you perform your services.

6. Payments and Fees

6.1 Platform Fees

LinkUp charges a service fee on completed transactions. The current fee structure is:

  • Customers: No booking fees
  • Service Providers: 10-15% commission on completed services
  • Payment processing fees may apply

6.2 Payment Processing

  • Payments are processed securely through third-party payment processors
  • Customers pay the full service amount at time of booking or completion
  • Providers receive payment within 3-5 business days after service completion
  • Refunds are processed according to our refund policy

6.3 Pricing and Quotes

Service providers set their own pricing. Prices displayed on the Platform are binding once a booking is confirmed, unless both parties agree to modifications. For quote-based services, the final price may vary based on actual service requirements.

7. Cancellations and Refunds

7.1 Customer Cancellations

  • Free cancellation up to 24 hours before scheduled service
  • 50% fee for cancellations within 24 hours
  • Full charge for no-shows or same-day cancellations

7.2 Provider Cancellations

If a provider cancels a confirmed booking:

  • Customer receives full refund
  • Provider may be subject to penalties
  • Repeated cancellations may result in account suspension

7.3 Disputes and Refunds

If you're unsatisfied with a service, contact us within 48 hours. We will investigate and may issue partial or full refunds at our discretion.

8. Reviews and Ratings

Users may leave reviews after service completion. Reviews must:

  • Be honest and based on actual experience
  • Not contain offensive, defamatory, or inappropriate content
  • Not violate privacy or confidentiality
  • Not include personal contact information
  • Not be incentivized or compensated

We reserve the right to remove reviews that violate these guidelines.

9. Prohibited Conduct

You may not:

  • Use the Platform for illegal purposes
  • Circumvent the Platform to avoid fees
  • Share account credentials with others
  • Scrape, copy, or harvest data from the Platform
  • Interfere with Platform operations or security
  • Impersonate others or provide false information
  • Harass, threaten, or abuse other users
  • Post spam, malware, or malicious content
  • Violate intellectual property rights
  • Engage in discriminatory practices

10. Intellectual Property

10.1 LinkUp Property

All content on the Platform, including logos, designs, text, graphics, and software, is owned by LinkUp and protected by intellectual property laws. You may not use, reproduce, or distribute this content without permission.

10.2 User Content

You retain ownership of content you upload (photos, descriptions, reviews). By uploading content, you grant LinkUp a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

  • The quality, safety, or legality of services provided by providers
  • The accuracy of provider information or credentials
  • The availability or reliability of the Platform
  • That the Platform will be error-free or secure

LinkUp is a marketplace platform connecting customers with independent service providers. We do not provide services directly and are not responsible for provider actions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Platform
  • Services provided by service providers
  • Unauthorized access to your account
  • Errors or omissions in Platform content
  • Actions of other users

13. Indemnification

You agree to indemnify, defend, and hold harmless LinkUp and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your provision or use of services through the Platform

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute, please contact us first at support@linkup.com to attempt informal resolution.

14.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or to participate in class action lawsuits.

15. Governing Law
